NOTICE: THIS MEDICAL RETAINER AGREEMENT DOES NOT CONSTITUTE INSURANCE, IS NOT A MEDICAL PLAN THAT PROVIDES HEALTH INSURANCE COVERAGE FOR PURPOSES OF THE FEDERAL PATIENT PROTECTION AND AFFORDABLE CARE ACT AND COVERS ONLY LIMITED, ROUTINE HEALTH CARE SERVICES AS DESIGNATED IN THE AGREEMENT. ​

Services Subscription Agreement
BY SUBSCRIBING OR BY OTHERWISE ACCESSING OR USING PREMED'S SERVICES TO ACCESS HEALTHCARE PROFESSIONALS, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE PREMED SERVICES, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS. THESE TERMS AND CONDITIONS CONSTITUTE A BINDING LEGAL CONTRACT. ​

In addition to this Services Subscription Agreement ("Agreement"), your use of the PreMed Services is also subject to our Terms of Use available at https://www.getpremed.com/terms-of-use, and this Agreement is hereby incorporated into and governed by the Terms of Use. If there is any conflict or inconsistency between this Agreement and the Terms of Use, then this Agreement will control the extent of the conflict or inconsistency. Payment.
You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. You authorize PreMed to immediately invoice your payment method on file with PreMed for all fees and charges due and payable, and you agree that no additional notice or consent is required to do so.
PreMed's fees are net of any applicable sales tax if any services or payments for any goods or services are subject to sales tax in any jurisdiction. You will be solely responsible for payment of such sales tax and any related penalties or interest. You will indemnify PreMed for any liability or expense incurred in connection with such sales taxes (including any use tax and any other tax measured by sales proceeds that PreMed is permitted to pass to you), and PreMed may automatically charge and withhold such taxes for services to be delivered within any jurisdictions that it deems is required.
PreMed reserves the right to determine pricing for the Services. PreMed may change the fees for any feature of the Services, including by imposing additional fees or charges, if PreMed gives you advance notice of changes before they apply. PreMed, at its sole discretion, may make promotional offers with different features and different pricing to any of our users.
When you purchase access to the PreMed Services, we will charge you an automatically recurring subscription fee and all applicable taxes for each subscription term ("Subscription Fee"). The length of each subscription term will be communicated to you when you purchase a subscription to the PreMed Services. You authorize us to charge you the Subscription Fee for each subscription term until cancellation of your subscription or we terminate it. We will charge you the first Subscription Fee on the date when you first purchase a subscription to the PreMed Services. You must cancel your subscription before it renews in order to avoid being automatically billed the Subscription Fee for the next subscription term. You will continue to have access to the Services for the period you have paid for, and there is no refund for cancelling your subscription prior to the end of the subscription term except as set forth in the "Refunds" Section below. We will bill all Subscription Fees to the payment method you provide to us during the purchase process (or to a different payment method if you change your payment information). You may cancel your subscription to the PreMed Services by accessing your Account page and selecting 'cancel subscription' or by contacting us at: [email protected].

Refunds.
All refund requests require you to submit a documented explanation supporting your request for a refund, and all such requests are subject to review for approval. All determinations of your eligibility for a refund are made solely by PreMed Group LLC and are final once PreMed Group LLC reaches its decision.
You are ineligible for a refund of subscription fees if it is determined at PreMed Group LLC's discretion that you, at any time, have violated these Terms of Use or PreMed Group LLC's conduct guidelines within a consult (including but not limited to any use of inappropriate language or behavior).

24/7 use.
You may request as many virtual visits as medically necessary for discrete and episodic medical issues, but not for emergency or in-person (outside the standard operating hours and locations of any collaborating medical facilities) care. If you obtain five or more virtual consults during any seven-day period on two or more occasions over any thirty-day period, then we reserve the right to review your usage and to suspend or terminate your PreMed Subscription account if we find that you have misused the service. Our conclusions based on those reviews are final. This high-volume use is usually indicative of medical issues that require in-person or emergency care instead of virtual care, and you are not permitted to use our products and services as a replacement for that care.

Changes.
We reserve the right to change these Terms on a going-forward basis at any time upon 7 days' notice. Please check these Terms periodically for changes. If a change to these Terms materially modifies your rights or obligations, we may require that you accept the modified Terms in order to continue to use the Service. Material modifications are effective upon your acceptance of the modified Terms. Immaterial modifications are effective upon publication. Except as expressly permitted in this section, this Agreement may be amended only by a written agreement signed by authorized representatives of the parties to this Agreement. Disputes arising under this Agreement will be resolved in accordance with the version of this Agreement that was in effect at the time the dispute arose.

Term and Termination.
This Agreement is effective when you accept it or otherwise access or use the PreMed Services, whichever occurs first. This Agreement will automatically terminate upon any termination of the Terms of Use, after which you are not permitted to continue using the Services. This agreement will also terminate after you cancel your subscription to the PreMed Services and your subscription term expires. You may cancel your subscription to the PreMed Subscription Services by accessing your Account page and selecting 'cancel subscription' or by contacting us at: [email protected].

LOUISIANA ATHLETIC CLUB WAIVER OF LIABILTY, RELEASE AND ASSUMPTION OF RISK FOR FITNESS CENTER PARTICIPATION Must 18 years old or older to complete this form. ACKNOWLEDGEMENT OF RISK. I understand and agree that there are risks of significant injury to me, whether caused by me or someone else, in my use of or presence on Louisiana Athletic Club`s premises. These risks of injury include, but are not limited to, slips, trips, falls, collisions, thefts, equipment failure, or other such accidents or incidents that may result in injury, harm or damage including, but not limited to, economic, property, emotional, mental, physical or any other type of damage including, but not limited to, sprains, torn muscles or ligaments, broken bones, stroke, heart stress, heart attack, paralysis, disfigurement, death, or other forms of pain or suffering. I voluntarily accept and specifically assume these risks to me. WAIVER OF LIABILITY AND INDEMNIFICATION. On my own behalf, and on behalf of my spouse, children, heirs, executors, administrators and representatives to the fullest extent allowed by applicable law, I agree to release and discharge from all liability, and waive all claims, demands and actions against, Louisiana Athletic Club, its affiliates, subsidiaries, officers, directors, employees, independent contractors, representatives, volunteers, and successors or assigns (collectively referred to as `Louisiana Athletic Club`) for any and all injuries, harms or damages sustained by me in connection with their use of or presence on the premises, or their use of facilities, equipment, services, programs or activities within or outside its centers, resulting or arising from the negligent acts or omissions of Louisiana Athletic Club, or the negligent acts or omissions of me, other members, guests, visitors or other persons on the premises. I agree to defend, indemnify and hold Louisiana Athletic Club harmless against any and all claims brought by anyone against Louisiana Athletic Club related to such injuries, harms or damages. MEDIA. I consent to any photographs, video, or other media coverage of me while participating in activities at Louisiana Athletic Club. I HAVE READ AND UNDERSTOOD THIS WAIVER OF LIABILTY, RELEASE AND ASSUMPTION OF RISK AND I UNDERSTAND THAT BY SIGNING IT I AM WAIVING VALUABLE LEGAL RIGHTS. I VOLUNTARILY ACCEPT AND AGREE TO ITS TERMS.

Louisiana Athletic Club (`Club`) and the Member(s) named below (collectively, `Member`) agree to these terms as of the Effective Date stated below: TERMS AND CONDITIONS OF MEMBERSHIP Policies. Member acknowledges that Member has received a copy of Club`s policies and procedures governing use of Club (`Policies`). Member will comply with the Policies, including all amendments Club makes to the Policies, and will cause Member`s guests to comply with the Policies (to the extent Club allows Member to bring guests to Club). Member`s violation of the Policies is a ground for immediate termination of this Agreement. Photos. Member consents on behalf of Member and all Dependents named above to Club`s taking photos of Member/Dependents and placing the photos on Member`s/Dependents Club membership cards. No Ownership Rights. Membership in Club confers no ownership in Club or its property. Term. The term of this Agreement begins on the Effective Date. A month-to-month Agreement remains in effect until terminated in accordance with these terms. A 12-month Agreement remains in effect until the first anniversary of the Effective Date and then converts to a month-to-month Agreement. Termination. Member may terminate a month-to-month Agreement at any time without penalty by giving Club at least 30 days written notice of termination. Member may terminate a 12-month Agreement before its initial 12-month term has expired by giving Club at least 30 days written notice of termination, but in the event of such an early termination, Member must pay a $250 early termination fee for an individual, $300 for a couple account, and $350 for a family account. Club may terminate any type of Agreement at any time by giving Member written notice of termination. Effect of Termination. After termination of this Agreement, Member will remain obligated for dues for the period ending on the termination date and for all other charges permitted under this Agreement. Further, if Member is the party who initiated the termination, Member will owe dues for the entire month in which the termination date occurs; Club will not prorate dues for a partial month in that event. For example, if Member terminates this Agreement as of the 15th day of a month, Member will be obligated for dues for the entire month. Club will not refund to Member any prepaid dues or fees applying to the period following the termination date unless the termination was the result of a without-cause termination by Club. Cancellation Right. Regardless of other limits on terminating this Agreement, Member may cancel this Agreement without penalty at any time within 14 days of the Member signature. To cancel this Agreement, Member must deliver to Club in person or by certified mail, return receipt requested, a signed and dated cancellation notice, within that 14-day period, together with all membership cards and other materials Club has provided to Member. Upon cancellation in accordance with this paragraph, Club will refund all money Member has paid in connection with this Agreement, net of a $15 service charge if Member has used Club facilities during the period prior to cancellation. Upon cancellation, Club also will return to Member all paperwork Member has signed. Relocation; Club Closure; Death or Disability. If (a) Member relocates 25 miles or more from Club`s location and from any substantially similar facility that would accept a transfer of Member`s membership in Club, (b) Club closes or relocates 25 or more miles from Member`s residence, or (c) Member by reason or death or disability is no longer able to use Club`s facilities, Member or Member`s personal representative may terminate this Agreement immediately by giving written notice to Club. If this Agreement terminates by reason of Member`s relocation, Member must provide evidence of Member`s new address to Club at least 30 days after the effective date of termination. Charges for Classes, Etc. Member acknowledges that personal training sessions, classes, and other activities at Club may involve charges beyond Member`s dues. Member is liable for payment of those charges for all such activities in which Member or a Dependent of Member elects to participate. Cancellation of Classes, Etc. To avoid owing charges for a class, lesson, personal training session, or other event involving a cost beyond regular Club dues, Member must provide at least 24 hours notice by telephone to Club of Member`s intent to cancel attendance at the event. Past Due Accounts. All payments due by Member pursuant to this Agreement and not paid by charges against Member`s bank account or credit card are due 20 days after the date of Club`s invoice. If any amount due pursuant to this Agreement is unpaid more than 30 days after its due date, Club may terminate Member`s Club privileges and this Agreement. Member is liable for any costs Club incurs to collect amounts due pursuant to this Agreement, including without limitation court costs and attorneys fees. Dues and Fees. Club may change the amount of fees, dues, and other charges payable pursuant to this Agreement at any time, without advance notice to Member, except that Club may not increase dues or fees for a period for which Member has prepaid dues or fees. No Assignment. Member may not assign this Agreement to any other person. Club may assign this Agreement to an affiliate of Club or to a person acquiring substantially all of the assets, ownership, or business operations of Club. Waiver of Liability. As a condition of this Agreement`s becoming effective, Member shall execute Club`s WAIVER OF LIABILITY, RELEASE AND ASSUMPTION OF RISK form.
